The HCA Healthcare Legal Department is comprised of attorneys specializing in ten primary areas:
Bob Waterman is the SVP, General Counsel and Chief Labor Relations Officer in charge of the HCA Legal Department.
The Litigation Group is responsible, along with outside counsel, for defending and pursuing criminal, administrative, civil, business and commercial litigation matters and may become involved in government or internal investigations or other disputes that could potentially result in litigation. Individual attorneys within the Litigation Group are assigned responsibility for a specific group of facilities and corporate departments and address issues that arise during the course of business for those assigned areas.
Labor & Employment
The Labor Group provides advice to the corporate office and all facilities on labor and employment matters. The labor group also handles, in conjunction with outside counsel, claims filed by the U.S. Equal Employment Opportunity Commission (EEOC), The U.S. Department Of Labor, The National Labor Relations Board (NLRB) and state labor agencies, as well as employment and discrimination claims and lawsuits filed by individuals. The labor group also handles, in conjunction with outside counsel, issues related to unions that represent or seek to represent employees at HCA-affiliated companies.
The Operations Group provides legal support for daily facility operations functions in the Company. Individual attorneys within the Operations Counsel Group provide contract drafting and negotiation, regulatory advice and other legal services relating to the day-to-day operations of hospitals, surgery centers, physician practices, and the Company's other operating divisions and facilities. In addition to regulatory and compliance-related matters, Operations Counsel functions may also include resolution of certain pre-litigation disputes, some resolution of disputed patient accounts, and simple physician collection actions. The Operations Counsel Group works closely with the Ethics and Compliance Department to track and handle compliance related matters.
The Development Group handles matters related to joint ventures, acquisitions, and divestitures of hospitals, outpatient facilities, and other related operating assets. The Group is also involved in acquisition of physician practices, particularly where real estate or tangible assets are involved.
The Corporate Legal Group typically handles corporate-wide matters and financing transactions. The Corporate Group is responsible for maintaining the legal standing of HCA and its various subsidiary entities. The Corporate Group, in conjunction with outside counsel, handles preparation and review of SEC filings, and other matters relating to corporate structure and finance. The Corporate Group also traditionally provides legal counsel and advice to certain physician joint ventures and advises regarding the Foreign Corrupt Practices Act and similar laws.
Real Estate Group
The Corporate Real Estate Group works in conjunction with outside counsel, providing legal support relating to facilities management, leasing, design and construction, and medical office building development, as well as other issues relating directly to real estate.
The attorneys assigned to Parallon Business Performance Group primarily provide legal support in the collection of patient receivables. Attorneys focus on corporate matters, which include overseeing the development of third party services agreements and vendor contracts, and supporting the Shared Services Division business leaders and officers. They also handle or manage certain types of cases involving violations of Fair Debt Collections practices or other consumer protection statutes. Other attorneys are dedicated to matters associated with the operation of Shared Services Centers that focus on the billing and collection of patient receivables which are generated primarily through managed care contracts. These centers are located throughout the country.
HealthTrust Purchasing Group (HPG)
The HPG Legal Group provides transactional legal services to HPG as well as to various HCA affiliated entities, including facilities, divisions, groups and corporate offices. Primary services performed relate to the review and negotiation of transactions for products and services used in healthcare provider facilities. In addition, the HPG Legal Group provides Parallon Supply Chain and Parallon Workforce Solutions business units with services including agreements and customizing statements of work. The HPG Legal Group also works with HCA affiliated entities to clear trademarks and service marks, and works with the Litigation Group on any trademark infringement matters.
HCA-Information Technology & Services, Inc. (IT&S) Group
The HCA – Information Technology & Services, Inc. Legal Group provides legal services for all technology, intellectual property and information security related matters including vendor agreements for products, services and both inbound and outbound software licenses, utilized by the HCA enterprise. The IT&S Legal Group also works with the Litigation Group to address claims of intellectual property infringement.
Employer & Payer Engagement Group
The Employer & Payer Engagement Group (EPE) department of HCA focuses on managed care contracting with commercial health plans and related issues. These attorneys also provide legal support for day to day EPE operational issues.
